Refer a friend terms and conditions
These terms set out how the PASS refer a friend programme works. By submitting a referral or accepting a referral reward, you agree to these terms.
1. promoter
The promoter of this referral programme is everyLIFE Technologies Ltd, the provider of PASS care management software.
2. eligibility
2.1 The referral programme is open to individuals aged 18 or over.
2.2 The referrer must be either:
an existing PASS customer, or
an individual known to PASS who submits a valid referral.
2.3 The referee must be a new customer organisation purchasing PASS.
2.4 The referee must not:
be an existing PASS customer,
have been a PASS customer within the previous 12 months, or
have had an open or recorded sales opportunity with PASS within the previous 12 months.
2.5 PASS employees, contractors, resellers, partners, or their immediate family members may not participate unless explicitly approved in writing by PASS.
3. anti self-referral and connected organisations
3.1 Referrers may not refer organisations that they own, control, work for, or have a financial interest in.
3.2 Referrals between connected organisations are not permitted.
3.3 Connected organisations include, but are not limited to:
organisations with shared directors
organisations with shared shareholders or ownership
organisations with shared management
organisations under common control or financial interest
subsidiaries, parent companies, or sister companies
3.4 PASS reserves the right to determine whether organisations are connected for the purposes of this programme.
4. qualifying referral
4.1 A referral is considered valid only if it is submitted through the official PASS referral form.
4.2 If the form cannot be submitted for any reason, the referee must clearly state during the first sales conversation with PASS that they were referred and identify the referrer.
4.3 Referrals must be submitted before the referee’s first recorded interaction with PASS. This includes, but is not limited to:
demo requests
website enquiries
event registrations
marketing form submissions
sales calls or meetings
4.4 Referrals submitted after the referee has already contacted PASS may not be accepted.
4.5 If multiple individuals refer the same organisation, the first recorded referral received by PASS will be the only referral eligible for reward.
4.6 In the event of a dispute regarding referral attribution, PASS internal records will be final.
4.7 PASS’s CRM records will be the sole determining record of whether an organisation has had a previous opportunity.
4.8 PASS reserves the right to determine whether a referral is valid.
5. qualifying purchase
5.1 To qualify for the referral reward, the referee must:
sign a PASS software contract of at least 12 months, and
complete the onboarding process, and
pay their first monthly PASS subscription fee.
5.2 The referee must sign a PASS contract within three (3) months of the referral submission date.
5.3 If a contract is not signed within three months, the referral will automatically expire and no reward will be payable.
5.4 The referral must result in a genuine new customer relationship. Contracts created primarily for the purpose of obtaining referral rewards are not permitted.
5.5 If the referee cancels the contract, requests a refund, or fails to remain in good standing within the first three (3) months of service, PASS reserves the right to withdraw or reclaim the referral reward.
6. referral reward
6.1 When a qualifying purchase is completed, both the referrer and the referee will each receive a £150 Amazon gift card.
6.2 The reward will be issued after the referee has successfully completed their first monthly billing cycle.
6.3 Rewards will normally be issued within 30 days of eligibility confirmation.
6.4 Rewards are non-transferable, non-exchangeable, and cannot be redeemed for cash.
6.5 PASS accepts no responsibility for the use, loss, or expiry of third-party gift cards.
6.6 PASS reserves the right to substitute the reward with an alternative of equal or greater value where necessary.
7. consultants, agencies and intermediaries
7.1 This programme is intended for personal referrals only.
7.2 Consultants, agencies, brokers, or intermediaries referring organisations as part of a commercial arrangement are not eligible for this referral programme.
7.3 Individuals or organisations referring clients as part of commercial activity may be required to enter a formal partner or reseller agreement with PASS instead.
7.4 PASS reserves the right to determine whether a referral has been made in a personal capacity or as part of a commercial activity.
8. limits
8.1 PASS may limit the number of referral rewards payable to any individual or organisation within any 12-month period.
8.2 Referrals must be made in good faith to organisations with a genuine interest in PASS.
8.3 Referrals generated through automated systems, bulk submissions, unsolicited marketing, or spam activity are not permitted.
9. abuse and fraud
9.1 PASS reserves the right to withhold or cancel rewards where it reasonably suspects:
fraudulent activity
misuse of the referral programme
self-referrals or referrals between connected organisations
referrals created solely to generate rewards
automated or mass referral submissions
any breach of these terms
9.2 Any attempt to manipulate, duplicate, or exploit the referral programme may result in the participant being removed from the programme and disqualified from future participation.
10. verification
10.1 PASS may request reasonable information to verify the identity of the referrer and referee before issuing rewards.
10.2 If verification cannot be completed, PASS reserves the right to withhold the reward.
11. tax responsibility
11.1 Participants are responsible for any personal tax liability that may arise as a result of receiving a referral reward.
11.2 PASS may request information required for tax reporting purposes where applicable.
11.3 PASS accepts no responsibility for reporting or paying any taxes associated with rewards unless required by law.
12. data protection
12.1 By submitting a referral, the referrer confirms they have permission from the referee to share their contact details with PASS.
12.2 PASS will process personal data in accordance with its privacy policy.
13. programme changes
13.1 PASS reserves the right to amend, suspend, cancel, or withdraw the referral programme at any time.
13.2 PASS may also change the reward type or value at its discretion.
13.3 Any changes will not affect rewards that have already been earned and confirmed prior to the change.
14. liability
14.1 PASS will not be liable for any indirect, incidental, or consequential loss arising from participation in the referral programme.
14.2 PASS does not guarantee the availability or continued operation of the referral programme.
15. governing law
These terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
